Terms of Service
The agreement governing your use of the Project Metrics Hub platform and services.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Project Metrics Hub ("Company," "we," "our," or "us"). By accessing or using the Project Metrics Hub platform, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, you must discontinue use of the Service immediately.
2. Description of Service
Project Metrics Hub is a cloud-based construction intelligence platform that provides:
- Financial dashboards and reporting (income statement, balance sheet, cash flows, AP/AR aging, and more)
- Job cost tracking, budgeting, and profitability analysis
- Integration with construction accounting systems (Foundation Software, Sage, QuickBooks, and others)
- Integration with project management platforms (Procore and others)
- AI-powered financial analysis and natural language querying
- Labor tracking, workforce analytics, and IS forecasting
- Role-based access control, user management, and security features
3. Account Registration and Security
3.1 Account Creation
To use the Service, you must register an account with accurate, complete, and current information. You are responsible for maintaining the accuracy of your account information and for all activities that occur under your account.
3.2 Credentials
You are responsible for safeguarding your password and any other credentials used to access the Service. You must not share your login credentials with unauthorized individuals. You agree to notify us immediately of any unauthorized use of your account.
3.3 Two-Factor Authentication
We strongly recommend enabling two-factor authentication (2FA) for all accounts. Certain plan tiers or administrator policies may require 2FA. We are not liable for unauthorized access resulting from your failure to secure your credentials or enable recommended security features.
4. Subscription and Payment
4.1 Plans and Pricing
The Service is offered under subscription plans with pricing determined by the number of users, features, and integrations selected. Current pricing is available upon request through our contact form. We reserve the right to modify pricing with 30 days' written notice before your next billing cycle.
4.2 Billing
Subscriptions are billed monthly or annually, as selected at the time of purchase. All fees are non-refundable except as expressly provided in these Terms or required by applicable law. If you upgrade your plan mid-cycle, the prorated difference will be charged immediately. Downgrades take effect at the start of your next billing cycle.
4.3 Late Payment
If payment is not received within 15 days of the due date, we may suspend access to the Service until the outstanding balance is paid. Accounts with balances overdue by more than 60 days may be terminated, and data may be deleted in accordance with our data retention policy.
5. Customer Data
5.1 Ownership
You retain all ownership rights to data you provide to, input into, or generate through the Service ("Customer Data"). This includes financial records, job data, employee information, and any content you create within the platform. We do not claim any ownership interest in your Customer Data.
5.2 License Grant
You grant us a limited, non-exclusive, royalty-free license to use, process, store, and transmit your Customer Data solely for the purpose of providing, maintaining, and improving the Service. This license terminates when you delete your data or close your account.
5.3 Data Portability
You may export your Customer Data at any time using the platform's built-in export features or by requesting a data export from our support team. We will provide your data in standard, machine-readable formats (CSV, JSON, or PDF as applicable).
5.4 Data Security
We implement industry-standard security measures to protect your Customer Data as described in our Privacy Policy and Security documentation. These include encryption in transit and at rest, bcrypt password hashing, role-based access control, and comprehensive audit logging.
6. Integrations and Third-Party Services
6.1 Authorization
Certain features of the Service involve connecting to third-party platforms (e.g., Procore, Foundation Software, QuickBooks, Google Sheets). By enabling these integrations, you authorize us to access, retrieve, and process data from those platforms on your behalf, limited to the scope necessary to provide the integration functionality.
6.2 Third-Party Terms
Your use of third-party integrations is subject to those providers' terms of service and privacy policies. We are not responsible for the availability, accuracy, or security practices of third-party services. If a third-party service becomes unavailable or changes its API, we will make reasonable efforts to maintain compatibility but cannot guarantee uninterrupted integration.
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation
- Upload or transmit viruses, malware, or any code designed to disrupt, damage, or interfere with the Service
- Attempt to gain unauthorized access to any part of the Service, other accounts, or systems connected to the Service
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
- Use automated systems (bots, scrapers, crawlers) to access the Service without our prior written consent
- Resell, sublicense, or provide the Service to third parties without our authorization
- Store or transmit data that infringes on the intellectual property rights of others
- Interfere with or disrupt the integrity or performance of the Service
8. Intellectual Property
8.1 Our Property
The Service, including its software, design, features, documentation, and all related intellectual property, is owned by Project Metrics Hub and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.
8.2 Feedback
If you provide suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use and incorporate that Feedback into the Service without obligation to you.
9. AI-Powered Features
The Service includes AI-powered analysis features that generate insights, summaries, and recommendations based on your financial data. These AI outputs are provided for informational purposes only and do not constitute financial advice, accounting guidance, or professional recommendations. You acknowledge that:
- AI-generated content may contain errors or inaccuracies
- AI analysis should be verified by qualified professionals before making business decisions
- We are not liable for decisions made based on AI-generated outputs
- Your data processed by AI features is handled in accordance with our Privacy Policy
10. Service Availability and Support
10.1 Uptime
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. We are not liable for downtime caused by factors beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.
10.2 Support
Support availability and response times vary by subscription plan. All plans include email support during business hours. Premium plans may include priority support, phone support, and dedicated account management as described in your subscription agreement.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROJECT METRICS HUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Project Metrics Hub and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your Customer Data.
13. Termination
13.1 By You
You may terminate your account at any time by contacting our support team. Termination does not entitle you to a refund of any prepaid fees unless required by applicable law.
13.2 By Us
We may suspend or terminate your access to the Service if: (a) you breach these Terms; (b) your account is overdue for payment beyond 60 days; (c) we are required to do so by law; or (d) we discontinue the Service with reasonable notice. We will provide at least 30 days' notice for service discontinuation to allow you to export your data.
13.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. We will retain your Customer Data for 30 days following termination to allow for data export requests. After this period, your data will be permanently deleted unless we are required by law to retain it.
14. Dispute Resolution
Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the state where the Company maintains its principal office. Each party shall bear its own costs of arbitration, except that the prevailing party shall be entitled to recover reasonable attorneys' fees.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information.
15. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and us regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Governing Law: These Terms are governed by the laws of the United States and the state in which the Company maintains its principal office, without regard to conflict of law principles.
- Notices: We may provide notices to you via email, in-platform notifications, or by posting on our website. Notices to us should be sent to info@projectmetricshub.com.
16. Changes to These Terms
We may revise these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the changes.
